USER AGREEMENT

AI Edge for Agents Community

Effective Date: September 29, 2025

1. PARTIES AND SCOPE

This User Agreement ("Agreement") is between Insight to Impact LLC, doing business as AiAi Mastermind ("Company," "we," "us"), and you ("Client," "you") for the provision of AI Edge for Agents Community combined membership.

2. MEMBERSHIP DESCRIPTION

2.1 What You Receive

IMPORTANT DISTINCTION: We are marketing consultants and AI educators, not a traditional ad agency. We provide training, recommendations, and implementation support per your request. You maintain full control and ownership of your campaigns.

This combined membership includes FULL ACCESS to both:

  • Insurance Marketing Machine Support (all features)

  • AI Mastery Community (all features)

From Insurance Marketing Machine Support:

Comprehensive Training:

  • Running and optimizing campaigns for your agency

  • Google Ads management and optimization strategies

  • SEO and local search optimization guidance

  • Campaign performance analysis

Software Access:

  • Mai Marketing Machine platform access

  • SEO business listing setup and management

  • Referral automation system

  • Campaign management tools

  • Analytics and reporting dashboards

Campaign Optimization Support:

  • Implementation of changes and modifications per your request

  • Campaign optimization recommendations and training

  • Ad copy refinement suggestions and bid strategy recommendations

  • Targeting optimization guidance

  • You approve all changes before implementation

Reporting & Recommendations:

  • Regular campaign status reviews

  • Data updates and performance metrics

  • Strategic recommendations for improvement

  • ROI tracking and reporting

From AI Mastery Community:

AI Extra Care Support:

  • Hands-on coaching with social media content creation using AI

  • Creating training materials with AI

  • AI role-play bots creation for insurance scenarios

  • Custom AI workflow development

AI Templates:

  • Social media posts and video templates

  • Review increase tools and automation

2.2 Billing Terms

Billing Cycle: Monthly automatic renewal
Payment Date: Same date each month as initial enrollment
Failed Payments: If payment fails, we will retry 3 times over 7 days. After 3 failures, service will be suspended until payment is received.
Late Fees: $10 late fee applies for failed payments requiring manual collection.

2.3 Price Changes

We may increase prices with 30 days advance notice via email. You may cancel before the increase takes effect to avoid new pricing.

Grandfathered Pricing: Early adopter pricing is honored as long as your subscription remains active without gaps.

3. MEMBER RESPONSIBILITIES

3.1 Active Participation

To maximize value from this combined membership:

  • Review and approve campaign optimization recommendations

  • Request specific changes or optimizations you want

  • Participate in AI community discussions and workshops

  • Provide requested information for optimization analysis

  • Implement AI strategies taught in community

  • Make final decisions on campaign changes

  • Maintain adequate Google Ads budget

  • Monitor campaign performance regularly

  • Attend live AI workshops when possible

Your Control: You maintain full control of your campaigns. We provide recommendations and implement changes only per your request and approval.

3.2 Platform Prerequisites

You must maintain:

  • Active Mai Marketing Machine account

  • Google Ads account with proper access granted to us

  • Viable quote landing pages

  • Business listing access (Google Business Profile, etc.)

  • Working phone system for lead handling

  • Accounts for AI tools (as recommended in community)

3.3 Compliance Responsibilities

You are responsible for:

  • Maintaining active insurance licenses

  • Complying with state insurance regulations

  • Following NAIC guidelines and insurance marketing rules

  • Ensuring all marketing materials (including AI-generated) meet regulatory standards

  • Obtaining necessary carrier approvals for marketing materials

  • Maintaining required insurance (E&O, general liability)

  • Reviewing all AI-generated content before use with clients

3.4 Community Standards

You must:

  • Treat all members and staff with respect

  • Maintain confidentiality of other members' business information

  • Avoid spam or excessive self-promotion

  • Follow community guidelines and rules

  • Respect intellectual property of shared materials

  • Participate constructively and professionally

4. PAYMENT TERMS

Payment Method: Credit card, debit card, ACH transfer via Stripe
Monthly Charge: Amount shown at enrollment
Authorization: By subscribing, you authorize monthly recurring charges
Updates: Keep payment method current to avoid service interruption

Important: This subscription covers our support services and community access. Google Ads spend is billed separately by Google directly to you.

5. CANCELLATION POLICY

5.1 How to Cancel

30 Days Advance Notice Required

Method 1: Email

  • Send cancellation request to [email protected]

  • Include: Your name, email address, last 4 digits of payment method

  • Subject line: "Cancellation Request - AI Edge for Agents Community"

Method 2: Platform

  • Log into Mai Marketing Machine

  • Navigate to Settings > Billing

  • Click "Cancel Subscription"

  • Follow prompts to confirm cancellation

Confirmation: You will receive email confirmation within 48 business hours

5.2 Service End Date

Service continues until the end of your next billing cycle after 30-day notice period.

Example:

  • Billing date: 15th of each month

  • Cancellation date: September 5

  • 30-day notice period ends: October 5

  • Service continues through: October 15 (next billing cycle)

  • Final billing: October 15

  • Service ends: October 15

5.3 No Prorated Refunds

We do NOT provide prorated refunds for partial month usage. Once a billing cycle begins, you have access to services for the full cycle regardless of usage.

5.4 Post-Cancellation Access

After cancellation:

  • 60-Day Grace Period: Mai Marketing Machine account remains open 60 days in read-only mode

  • During 60 Days: You can view historical data, export information, download assets

  • After 60 Days: Your account and all data are permanently deleted

  • Community Access: Ends on final billing date

  • Workshop Recordings: Accessible for 30 days post-cancellation

  • Downloaded Materials: Templates and materials you downloaded remain yours to use

  • Business Listings: Remain live online but not monitored or optimized by us

  • Google Ads Campaigns: Remain fully functional in YOUR Google Ads account. You can continue running them independently or with another service provider.

  • Your Benefit: Unlike traditional ad agencies, you keep working campaigns that you fully own

  • Your Responsibility: Continue managing campaigns and AI implementations yourself or hire another service provider.

6. INTELLECTUAL PROPERTY

6.1 Our Intellectual Property

All training materials, workshop content, campaign templates, AI prompts, optimization strategies, and proprietary methodologies remain the exclusive property of Insight to Impact LLC. You receive a limited license during active membership.

Restrictions - You may NOT:

  • Share materials with non-members

  • Resell or redistribute our content

  • Claim our materials as your own

  • Remove copyright notices

  • Create derivative works for sale

  • Share workshop recordings with others

  • Continue using member-only materials after membership ends (except downloaded items)

6.2 Your Created Materials

Campaign Materials: Campaign structures, business listings, and marketing materials we help you create become your property upon full payment.

Campaign Ownership and Control: All campaigns remain in YOUR Google Ads account. We provide:

  • Training on how to optimize campaigns

  • Recommendations for improvements

  • Implementation of changes only when you request them

  • Monthly performance reports and analysis

We Do NOT:

  • Make changes without your knowledge or approval

  • Control your ad spend or budgets

  • Act as a traditional ad agency managing campaigns on your behalf

Key Benefit: When you stop working with us, you keep your fully-functional campaigns and can continue running them independently or with another service provider.

AI-Generated Content: Content you create using AI tools and our templates becomes your property.

Community Contributions: Content you share in the community grants us a license to use for community benefit but remains your property.

7. RESULTS DISCLAIMERS AND LIMITATIONS

7.1 NO GUARANTEED RESULTS

CRITICAL DISCLAIMER: We provide marketing support, AI training, optimization, and strategic guidance, but we do NOT and CANNOT guarantee specific results, including but not limited to:

  • Number of leads generated

  • Lead quality or conversion rates

  • Insurance sales or revenue

  • Return on advertising investment (ROAS)

  • Cost per lead or cost per acquisition

  • Time saved through AI automation

  • Content quality improvements

  • Social media engagement growth

  • Review or referral increases

  • Search engine rankings

  • Staff productivity improvements

7.2 Factors Affecting Results

Success depends on numerous factors beyond our control:

  • Market Conditions: Economic environment, seasonal fluctuations, industry trends

  • Implementation Quality: How well you execute recommendations and use AI tools

  • Budget Allocated: Google Ads budget size and consistency

  • Local Competition: Number and strength of competing agents in your market

  • Sales Skills: Your agency team's abilities to close leads we generate

  • Follow-Up Speed: How quickly and consistently you respond to leads

  • Insurance Companies: Rate competitiveness and premium offerings of carriers you represent

  • Product Offerings: Types of insurance products you offer and market demand

  • Business Reputation: Your existing reputation, reviews, and online presence

  • Geographic Location: Population density, demographics, local market conditions

  • Team Adoption: Whether your team embraces and uses AI tools effectively

  • Learning Curve: Your technical aptitude and willingness to adapt

  • Time Investment: Ongoing practice and refinement of marketing and AI skills

  • Platform Changes: Third-party platforms (Google, AI tools) may change without notice

7.3 Past Performance

Case studies, testimonials, and examples of past member results do NOT guarantee you will achieve similar results. Individual results vary significantly based on the factors listed above.

7.4 Platform Dependencies

Our services rely on third-party platforms (Google Ads, GoHighLevel, ChatGPT, Claude, social media platforms) whose algorithms, policies, features, and pricing may change without notice. We are not responsible for results impacted by third-party platform changes.

8. LIMITATION OF LIABILITY

8.1 Liability Cap

TO THE FULLEST EXTENT PERMITTED BY CALIFORNIA LAW, OUR TOTAL LIABILITY ARISING FROM OR RELATED TO THIS MEMBERSHIP SHALL NOT EXCEED THE AMOUNT YOU PAID IN THE PRECEDING 12 MONTHS.

8.2 Professional Liability Insurance

We maintain professional liability insurance. This insurance covers errors and omissions in our professional services but does not guarantee compensation for all claims.

8.3 Excluded Damages

WE SHALL NOT BE LIABLE FOR:

  • Indirect, incidental, or consequential damages

  • Loss of profits, revenue, or business opportunities

  • Loss of data, campaign history, or AI-generated content

  • Google Ads spend or wasted ad budget

  • Business interruption

  • Damages arising from third-party platforms

  • Damages resulting from your failure to follow recommendations

  • Poor lead conversion due to your sales process

  • Technical issues with third-party AI platforms

  • Your inability to implement teachings

  • Damages from AI-generated content you create and use

  • Community member interactions or advice

  • Claims arising more than 12 months after services provided

9. INSURANCE INDUSTRY COMPLIANCE

9.1 Our Role

WE ARE MARKETING CONSULTANTS AND AI TRAINING PROVIDERS, NOT INSURANCE COMPLIANCE EXPERTS. We provide guidance on marketing strategies, digital advertising, lead generation, and AI tools. We do NOT provide:

  • Insurance licensing advice

  • Regulatory compliance guidance

  • Legal interpretation of insurance regulations

  • Approval of insurance marketing materials (including AI-generated)

  • Compliance with state insurance laws

  • Compliance with insurance carriers requirements

9.2 Your Compliance Responsibilities

You acknowledge and agree that:

  • You are solely responsible for compliance with all insurance regulations

  • You must ensure all marketing materials (including AI-generated content) comply with state insurance laws

  • You must review all AI-generated content before using it with clients or prospects

  • You must obtain necessary carrier approvals for marketing materials

  • You must maintain active insurance licenses in all states where you operate

  • You must seek independent legal counsel for insurance compliance questions

  • You must comply with NAIC Model Regulations and state-specific rules

  • AI tools do not replace human judgment in regulatory matters

9.3 Regulatory Liability

WE ARE NOT LIABLE FOR:

  • Regulatory fines or penalties you incur

  • License suspensions or revocations

  • Compliance violations in your marketing

  • Failure to obtain necessary approvals

  • State insurance department actions against you

You agree to indemnify and hold us harmless from any claims arising from your failure to comply with insurance regulations.

9.4 Marketing Content Responsibility

While we create, optimize campaigns, and teach AI strategies, YOU are responsible for:

  • Ensuring all marketing claims are accurate and compliant

  • Including required disclosures in advertisements

  • Obtaining carrier approval when required

  • Avoiding prohibited terms and practices

  • Complying with FTC and state advertising laws

  • Maintaining documentation to substantiate claims

  • Reviewing all AI-generated content for accuracy and compliance

  • Fact-checking all AI outputs before use

  • Not relying solely on AI for regulatory compliance

  • Human oversight of all client-facing content

10. COMMUNITY CONDUCT

10.1 Expected Behavior

All members must:

  • Treat instructors and fellow members with respect

  • Participate constructively and professionally

  • Avoid disruptive or negative behavior

  • Respect confidentiality of other members' business information

  • Follow community guidelines and rules

  • Avoid excessive self-promotion or spam

10.2 Prohibited Behavior

Members may NOT:

  • Harass, bully, or abuse other members or staff

  • Share offensive, discriminatory, or harmful content

  • Promote competing services without permission

  • Share member-only content with non-members

  • Engage in illegal activities

  • Spread misinformation or false claims

  • Display victim mentality or persistent negativity that affects others

  • Record or share workshop content without permission

10.3 Enforcement

First Violation: Warning and coaching
Second Violation: 30-day probation
Third Violation: Membership termination without refund

Severe Violations: Immediate termination without warning for harassment, illegal activity, or egregious misconduct.

11. SERVICE LEVEL AND SUPPORT

11.1 Support Availability

Response Time: Within 48 business hours for non-urgent matters
Urgent Issues: Within 4 business hours during business hours
Business Hours: Monday-Friday, 9 AM - 5 PM Pacific Time (excluding holidays)

11.2 What's Included

Marketing Support:

  • Campaign optimization recommendations and training

  • Strategic consultation via email/chat

  • Monthly performance reporting and analysis

  • Technical assistance with Mai Marketing Machine

  • Content support and templates

  • Troubleshooting campaign issues

  • Implementation of changes per your request and approval

AI Support:

  • AI implementation guidance

  • Answers to questions about AI tools

  • Workshop attendance and recording access

  • Community participation

  • AI Extra Care coaching sessions

11.3 What's Not Included

  • Direct Google Ads support (contact Google directly)

  • Your website hosting or domain issues

  • Complete campaign rebuilds (major restructuring may require additional fees)

  • Management of non-Google advertising platforms

  • Graphic design services beyond templates

  • Custom landing page development

  • One-on-one private coaching (available during group sessions and Extra Care)

  • Support for third-party AI platforms (ChatGPT, Claude support)

11.4 Platform Uptime

We strive for 99% uptime for Mai Marketing Machine platform but do not guarantee uninterrupted availability. Scheduled maintenance will be announced 24 hours in advance when possible.

12. CONFIDENTIALITY

12.1 Confidential Information

Each party agrees to protect the other's confidential information, including:

  • Your Confidential Information: Business strategies, financial data, client lists, campaign performance data, proprietary processes

  • Our Confidential Information: Training materials, AI prompts, optimization strategies, proprietary methodologies, workshop content

12.2 Data Security

We implement reasonable security measures to protect your confidential information (see Privacy Policy for details). You are responsible for maintaining security of your login credentials.

12.3 Community Environment

Community is a shared environment - avoid sharing highly sensitive information in public forums. Respect confidentiality of other members' business information.

13. DISPUTE RESOLUTION

13.1 Good Faith Negotiation

Before initiating legal action, parties agree to attempt good faith negotiation by contacting [email protected]. We will respond within 5 business days to schedule a resolution discussion.

13.2 Mediation

If negotiation fails within 30 days, parties agree to mediate the dispute through a neutral mediator in Orange County, California before proceeding to arbitration.

13.3 Binding Arbitration

If mediation fails, disputes will be resolved through binding arbitration under American Arbitration Association (AAA) rules in Orange County, California.

Arbitration Terms:

  • One arbitrator mutually selected or appointed by AAA

  • California law applies

  • Discovery limited to essential documents

  • Each party bears own costs except as awarded by arbitrator

  • Arbitrator's decision is final and binding

  • Class actions and jury trials are waived

13.4 Exceptions

Either party may seek injunctive relief in court for:

  • Intellectual property infringement

  • Confidentiality breaches

  • Urgent matters requiring immediate protection

13.5 Governing Law and Venue

This Agreement is governed by California law. Any court proceedings shall be in Orange County, California. You consent to personal jurisdiction in California courts.

14. MODIFICATIONS TO AGREEMENT

We may modify this Agreement with 30 days notice via email. Material changes require your consent. Continued use after changes constitutes acceptance. You may cancel before changes take effect.

15. GENERAL PROVISIONS

15.1 Entire Agreement

This Agreement, together with the Privacy Policy, Refund Policy, and Acceptable Use Policy, constitutes the entire agreement between parties.

15.2 Independent Contractors

You and we are independent contractors. Nothing in this Agreement creates an employment, partnership, joint venture, or agency relationship.

15.3 No Third-Party Beneficiaries

This Agreement is solely between you and us. No third parties have rights under this Agreement.

15.4 Assignment

You may not assign this Agreement without our written consent. We may assign this Agreement without restriction.

15.5 Severability

If any provision is unenforceable, remaining provisions remain in full effect.

15.6 Waiver

Failure to enforce any right does not constitute waiver.

15.7 Force Majeure

Neither party is liable for delays due to circumstances beyond reasonable control (natural disasters, pandemics, internet outages, acts of God, war, government actions).

15.8 Survival

Provisions regarding intellectual property, confidentiality, limitation of liability, indemnification, and dispute resolution survive termination.

16. ACKNOWLEDGMENT

By subscribing to AI Edge for Agents Community, you acknowledge that you have read, understood, and agree to this Agreement, including all limitations of liability and results disclaimers. You confirm that you are authorized to enter into this Agreement on behalf of your business.
