1. PARTIES AND SCOPE

This User Agreement ("Agreement") is between Insight to Impact LLC, doing business as AiAi Mastermind ("Company," "we," "us"), and you ("Client," "you") for the provision of the Launch For You Program.

2. PROGRAM DESCRIPTION

2.1 What You Receive

Everything in Launch With You Program:

2.2 Timeline

1-2 weeks from purchase to campaign launch.

2.3 What We Do For You

  • Complete technical setup and installation

  • Configure all marketing campaigns

  • Install optimization scripts

  • Test and verify all systems

  • Launch campaigns and monitor initial performance

  • Provide strategic customization recommendations

2.4 Your Responsibilities

  • Complete all prerequisite requirements (see Section 3)

  • Provide necessary access credentials

  • Review and approve campaign setups

  • Maintain active insurance licenses and compliance

  • Participate in strategic coaching sessions

3. CLIENT RESPONSIBILITIES AND PREREQUISITES

3.1 Required Prerequisites

Before we can begin work, you must have:

Technology Requirements:

  • Personal computer with administrative access

  • Zoom software installed and functional

  • Google Chrome browser installed and set as default browser

Platform Requirements:

  • Mai Marketing Machine account activated

  • Google Ads account created and verified

  • Search-relevant domain purchased

  • Tracking link generated and functional

  • Viable quote landing page that converts visitors

Business Requirements:

  • Active insurance license(s) in states where you operate

  • Compliance with all applicable insurance regulations

  • Business email address (not personal Gmail/Yahoo)

  • Business phone number

CRITICAL: If you cannot complete these prerequisites, we cannot proceed with Launch For You installation. No refunds will be provided if you fail to complete prerequisites within 30 days of purchase.

3.2 Access Requirements

You must provide us with:

  • Mai Marketing Machine login credentials

  • Google Ads account access (Admin level)

  • Domain/website access if needed for tracking setup

  • Any other platform access required for installation

3.3 Ongoing Client Responsibilities

Maintain Compliance:

  • Maintain active insurance licenses

  • Comply with state insurance regulations

  • Follow NAIC guidelines and insurance marketing rules

  • Ensure all marketing materials meet regulatory standards

  • Obtain necessary approvals from insurance carriers

  • Maintain required insurance (E&O, general liability)

Provide Accurate Information:

  • Provide truthful business information

  • Disclose all relevant facts about your operations

  • Update us promptly about changes to your business

  • Respond to information requests within 5 business days

Participate in Strategic Sessions:

  • Attend scheduled coaching calls

  • Review and approve campaign setups before launch

  • Provide feedback on customizations

  • Ask questions during implementation

Budget and Resources:

  • Maintain adequate marketing budget for Google Ads

  • Allocate sufficient time for review and approval sessions

  • Dedicate staff resources for follow-up with leads

  • Invest in necessary technology and tools

4. PAYMENT TERMS

Payment Due: Full payment required at enrollment
Payment Methods: Credit card, debit card, ACH transfer via Stripe
No Installment Plans: One-time programs must be paid in full
Price: As agreed at time of purchase and shown on your receipt

5. REFUND POLICY

5.1 Account Security

See detailed Refund & Cancellation Policy for complete terms.

Key Highlights for Launch For You:

Refund Available: ONLY BEFORE you access courses/templates or we begin installation work

No Refund After:

  • You have accessed any intellectual property included in the program

  • We have begun Done For You installation work

  • We have accessed your accounts and started setup

  • We have conducted strategic coaching sessions

  • Custom work has been performed for your business

Processing: Refund requests reviewed within 48 business hours. Credit card processing fees (3-4%) are deducted from refunds

Reason for Policy: This program includes significant custom work and intellectual property. Once we begin installation or you access materials, substantial value has been delivered.

6. INTELLECTUAL PROPERTY

6.1 Our Intellectual Property

All training materials, courses, templates, software, and proprietary methodologies remain the exclusive property of Insight to Impact LLC. You receive a limited license to use these materials for your own business operations only.

Restrictions - You may NOT:

  • Share materials with non-clients

  • Resell or redistribute our content

  • Claim our materials as your own

  • Remove copyright notices

  • Create derivative works for sale

6.2 Your Campaign Materials

Marketing campaigns we create and install for you become your property upon completion and full payment. This includes:

  • Google Ads campaign structures

  • Business listing optimizations

  • Landing page content we create

  • Custom scripts and automations

6.3 Case Studies and Testimonials

We may use anonymized case studies and aggregate performance data for marketing purposes. We will not disclose your identity without written permission. You grant us permission to use your testimonials and success stories with your name and business name unless you request anonymity.

7. RESULTS DISCLAIMERS AND LIMITATIONS

7.1 NO GUARANTEED RESULTS

CRITICAL DISCLAIMER: We provide marketing installation, training, consulting, and software tools, but we do NOT and CANNOT guarantee specific results, including but not limited to:

  • Number of leads generated

  • Lead quality or conversion rates

  • Insurance sales or revenue

  • Return on advertising investment

  • Search engine rankings

  • Website traffic levels

  • Social media engagement

7.2 Factors Affecting Results

Marketing success depends on numerous factors beyond our control, including but not limited to:

  • Market Conditions: Economic environment, seasonal fluctuations, industry trends

  • Implementation Quality: How well you manage and optimize campaigns after launch

  • Business Reputation: Your existing reputation, reviews, and market position

  • Geographic Location: Local competition, population density, demographics

  • Budget Allocated: Marketing budget size and consistency

  • Local Competition: Number and strength of competing agents in your area

  • Sales Skills: Your agency team's sales abilities and closing rates

  • Follow-Up Frequency: How quickly and consistently your team follows up with leads

  • Insurance Companies: Rate competitiveness and premium offerings of carriers you represent

  • Product Offerings: Types of insurance products you offer

  • Regulatory Environment: State regulations and compliance requirements

  • Technology: Proper maintenance of marketing systems after installation

  • Time and Patience: Marketing results require consistent effort over time

7.3 Past Performance

Case studies, testimonials, and examples of past client results do NOT guarantee you will achieve similar results. Individual results vary significantly based on the factors listed above.

7.4 Platform Dependencies

Our services rely on third-party platforms (Google Ads, GoHighLevel, social media platforms) whose algorithms, policies, and functionality may change without notice. We are not responsible for results impacted by third-party platform changes.

8. LIMITATION OF LIABILITY

8.1 Liability Cap

TO THE FULLEST EXTENT PERMITTED BY CALIFORNIA LAW, OUR TOTAL LIABILITY ARISING FROM OR RELATED TO THIS AGREEMENT SHALL NOT EXCEED THE AMOUNT YOU PAID FOR THIS PROGRAM.

8.2 Professional Liability Insurance

We maintain professional liability insurance. This insurance covers errors and omissions in our professional services but does not guarantee compensation for all claims.

8.3 Excluded Damages

WE SHALL NOT BE LIABLE FOR:

  • Indirect, incidental, or consequential damages

  • Loss of profits, revenue, or business opportunities

  • Loss of data or loss of use

  • Cost of substitute services

  • Business interruption

  • Damages arising from third-party platforms

  • Damages resulting from your failure to maintain campaigns

  • Damages from unauthorized access by third parties

  • Claims arising more than 12 months after services provided

8.4 Your Insurance Requirements

You are responsible for maintaining appropriate business insurance, including:

  • Professional liability (E&O) insurance

  • General liability insurance

  • Cyber liability insurance (recommended)

  • Any insurance required by state insurance regulations

9. INSURANCE INDUSTRY COMPLIANCE

9.1 Our Role

WE ARE MARKETING CONSULTANTS, NOT INSURANCE COMPLIANCE EXPERTS. We provide guidance on marketing strategies, digital advertising, and lead generation. We do NOT provide:

  • Insurance licensing advice

  • Regulatory compliance guidance

  • Legal interpretation of insurance regulations

  • Approval of insurance marketing materials

  • Compliance with state insurance laws

  • Compliance with insurance carriers requirements

9.2 Your Compliance Responsibilities

You acknowledge and agree that:

  • You are solely responsible for compliance with all insurance regulations

  • You must ensure all marketing materials comply with state insurance laws

  • You must obtain necessary carrier approvals for marketing materials

  • You must maintain active insurance licenses in all states where you operate

  • You must seek independent legal counsel for insurance compliance questions

  • You must comply with NAIC Model Regulations and state-specific rules

9.3 Regulatory Liability

WE ARE NOT LIABLE FOR:

  • Regulatory fines or penalties you incur

  • License suspensions or revocations

  • Compliance violations in your marketing

  • Failure to obtain necessary approvals

  • State insurance department actions against you

You agree to indemnify and hold us harmless from any claims arising from your failure to comply with insurance regulations.

9.4 Marketing Content Responsibility

While we create and install campaigns for you, YOU are responsible for:

  • Ensuring all marketing claims are accurate and compliant

  • Including required disclosures in advertisements

  • Obtaining carrier approval when required

  • Avoiding prohibited terms and practices

  • Complying with FTC and state advertising laws

  • Maintaining documentation to substantiate claims

  • Ongoing compliance as you modify campaigns

10. SERVICE LEVEL AND SUPPORT

10.1 Support Availability

Response Time: Within 48 business hours for non-urgent matters
Urgent Issues: Within 4 business hours during business hours
Business Hours: Monday-Friday, 9 AM - 5 PM Pacific Time (excluding holidays)

Support Duration: 12 months from program start date (included with program)

10.2 Included Support

During your 12-month support period:

  • Technical assistance with Mai Marketing Machine platform

  • Answers to questions about campaign management

  • Troubleshooting campaign issues

  • Guidance on optimization strategies

  • Access to AI Edge for Agents Community

10.3 Excluded Support

We do NOT provide support for:

  • Third-party platforms (Google Ads direct support, social media platforms)

  • Your website hosting or domain issues

  • Your computer or device problems

  • Insurance carrier-specific systems

  • Complete campaign rebuilds or major changes

  • Services beyond the scope of this program

10.4 Platform Uptime

We strive for 99% uptime for Mai Marketing Machine platform but do not guarantee uninterrupted availability. Scheduled maintenance will be announced 24 hours in advance when possible.

11. PROGRAM COMPLETION AND ONGOING ACCESS

11.1 After 12 Months

Upon completion of your 12-month included support period:

  • Your Mai Marketing Machine access will expire unless you subscribe to ongoing support

  • Your LIFETIME ACCESS courses remain accessible indefinitely

  • Campaign structures remain in your Google Ads account

  • You maintain full ownership of installed campaigns

  • You may subscribe to monthly support if desired

11.2 Continuing Support Options

After your 12-month period, you may:

  • Subscribe to Insurance Marketing Machine Support ($299-$399/month)

  • Subscribe to AI Edge for Agents Community ($499-$699/month)

  • Manage campaigns independently with your existing knowledge

12. CONFIDENTIALITY

12.1 Confidential Information

Each party agrees to protect the other's confidential information, including:

  • Your Confidential Information: Business strategies, financial data, client lists, proprietary processes, account credentials

  • Our Confidential Information: Training materials, templates, software code, proprietary methodologies, installation processes

12.2 Permitted Disclosures

Confidential information may be disclosed:

  • With written consent

  • To employees/contractors who need to know

  • As required by law

  • In response to valid legal process

12.3 Data Security

We implement reasonable security measures to protect your confidential information (see Privacy Policy for details). However, no system is 100% secure. You are responsible for maintaining security of your login credentials.

13. DISPUTE RESOLUTION

13.1 Good Faith Negotiation

Before initiating legal action, parties agree to attempt good faith negotiation by contacting [email protected]. We will respond within 5 business days to schedule a resolution discussion.

13.2 Mediation

If negotiation fails within 30 days, parties agree to mediate the dispute through a neutral mediator in Orange County, California before proceeding to arbitration.

13.3 Binding Arbitration

If mediation fails, disputes will be resolved through binding arbitration under American Arbitration Association (AAA) rules in Orange County, California.

Arbitration Terms:

  • One arbitrator mutually selected or appointed by AAA

  • California law applies

  • Discovery limited to essential documents

  • Each party bears own costs except as awarded by arbitrator

  • Arbitrator's decision is final and binding

  • Class actions and jury trials are waived

13.4 Exceptions

Either party may seek injunctive relief in court for:

  • Intellectual property infringement

  • Confidentiality breaches

  • Urgent matters requiring immediate protection

13.5 Governing Law and Venue

This Agreement is governed by California law. Any court proceedings shall be in Orange County, California. You consent to personal jurisdiction in California courts.

14. MODIFICATIONS TO AGREEMENT

We may modify this Agreement with 30 days notice via email. Material changes require your consent. Continued use after changes constitutes acceptance.

15. GENERAL PROVISIONS

15.1 Entire Agreement

This Agreement, together with the Privacy Policy, Refund Policy, and Acceptable Use Policy, constitutes the entire agreement between parties.

15.2 Independent Contractors

You and we are independent contractors. Nothing in this Agreement creates an employment, partnership, joint venture, or agency relationship.

15.3 No Third-Party Beneficiaries

This Agreement is solely between you and us. No third parties have rights under this Agreement.

15.4 Assignment

You may not assign this Agreement without our written consent. We may assign this Agreement without restriction.

15.5 Severability

If any provision is unenforceable, remaining provisions remain in full effect.

15.6 Waiver

Failure to enforce any right does not constitute waiver.

15.7 Force Majeure

Neither party is liable for delays due to circumstances beyond reasonable control (natural disasters, pandemics, internet outages, acts of God, war, government actions).

15.8 Survival

Provisions regarding intellectual property, confidentiality, limitation of liability, indemnification, and dispute resolution survive termination.

16. ACKNOWLEDGMENT

By enrolling in the Launch For You Program, you acknowledge that you have read, understood, and agree to this Agreement, including all limitations of liability and results disclaimers. You confirm that you are authorized to enter into this Agreement on behalf of your business.
